Terms of Service — YourProDesk

1. Acceptance of Terms

By accessing or using YourProDesk ("Service"), operated by Blakiston Peak LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. Description of Service

YourProDesk provides a cloud-based platform for PDF document management, authentication, blockchain recording, electronic signing, and verification. The Service is available via subscription and credit-based purchases.

3. Electronic Signatures — ESIGN & UETA Compliance

Legal Validity of Electronic Signatures

Electronic signatures created through YourProDesk are legally binding under:

The Electronic Signatures in Global and National Commerce Act (ESIGN Act), 15 U.S.C. § 7001 et seq.
The Uniform Electronic Transactions Act (UETA), as adopted in 47 U.S. states and territories
EU Regulation No. 910/2014 (eIDAS) — as a Simple Electronic Signature (SES)

3.1 Electronic Signature Intent

By signing a document through the Service, signers affirmatively confirm their intent to sign electronically. The Service captures and records: the signer's name, email address, IP address, browser/device information, and timestamp of signing. This constitutes a valid, enforceable electronic signature.

3.2 Audit Trail

Every signing event generates an immutable audit trail including: document hash before and after signing, signer identification, timestamp (UTC), IP address, and browser user agent. This audit trail is stored on our servers and optionally recorded on the Hyperledger Fabric blockchain for additional tamper-proof verification.

3.3 Opt-Out Right

Signers have the right to withdraw consent to electronic signatures at any time before completing a signature. Contact [email protected] to request paper alternatives.

3.4 Document Retention for Legal Purposes

Signed documents and their audit trails are retained for the duration of your account. Upon account deletion, all records are permanently and irrevocably deleted from our systems. You are responsible for downloading and retaining your own copies of signed documents and audit trails for legal, tax, and compliance purposes before account deletion.

4. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

5. Credits, Payments and Subscriptions

The Service operates on a credit-based system for document actions and annual subscription plans for platform access. Credits are purchased through Stripe and are non-refundable unless required by law. Credits do not expire while your account is active.

Paid subscription plans are billed annually and renew automatically unless cancelled. You may cancel at any time; access continues until the end of the current billing period. Prices are subject to change with 30 days notice.

Free accounts remain active for 365 days from registration.

5.1 Expiry and Grace Period

You will receive email notifications 30, 7, and 2 days before your free account or paid subscription expires. After expiry, your account enters a 30-day grace period:

Read-only access: You may view and download your documents and data; you cannot create, edit, or sign new documents during grace
Three options: Renew with a paid subscription, continue on a free plan (where eligible), or request immediate deletion
Reminder emails: Sent 7, 23, and 28 days into the grace period
End-of-grace deletion: If no action is taken, your account and all associated data are permanently deleted

5.2 Refunds and Cancellations

Subscription fees are non-refundable. You may cancel your subscription at any time from your account dashboard, and you will retain access to your paid features until the end of your current billing period. After that, your account will automatically move to the Free plan and your data will be preserved.

In cases of billing errors, duplicate charges, or verified service outages that significantly impacted your ability to use YourProDesk, please contact [email protected] within 30 days of the charge and we will review your case in good faith.

6. Distribution Marketplace

YourProDesk Distribution allows subscribers ("Merchants") to sell PDFs through their own storefronts. YourProDesk provides fulfillment infrastructure only; the Merchant is the seller of record for every transaction.

Merchant obligations

You warrant that you own or have full legal rights to license the PDF content you sell.
You warrant that the content does not infringe any third-party copyright, trademark, or other intellectual property rights.
Content must comply with applicable law and payment-processor policies. You may not sell illegal material, content involving minors in a sexual context, non-consensual imagery, or material that incites violence or hatred.
Refunds are handled by you through your storefront's payment processor (Stripe). YourProDesk does not process refunds. Fulfillment credits consumed on your account at the time of order are not returned.
You may deactivate any product to stop future sales. Existing buyer downloads remain accessible for 7 days from the original purchase date.

Buyer terms

Buyers receive a personalized copy of the PDF containing their name, order ID, and purchase date. Personalization is retained even if the payment is later refunded.
Buyer accounts are created automatically upon purchase using a passwordless magic-link mechanism. The magic-link token expires 7 days after issue.
Buyers may request account deletion at any time (see Privacy Policy §6).

Blockchain records

Cryptographic hashes recorded on the Hyperledger Fabric blockchain for tamper-evidence purposes are permanent, contain no personal data, and are not affected by refunds or account deletions.

Enforcement

YourProDesk may remove any product, suspend any Merchant account, or terminate service for violations of these Terms, valid DMCA takedown notices, or Stripe/payment-processor policy violations. Buyer refunds and disputes originating from such actions remain the Merchant's responsibility.

7. Document Retention Policy

Retention Schedule

Active documents: Retained while your account is active
Documents you delete: Permanently purged within 30 days of deletion
Merged or temporary documents: Auto-deleted within 1 hour if not saved
Account deletion: All documents, signing records, audit trails, API keys, invoices, and payment records are permanently and irrevocably deleted
Payment records held by Stripe: Stripe retains transaction records independently for 7 years as the merchant of record
Blockchain records: Cryptographic hashes recorded on Hyperledger Fabric are permanent and immutable. These hashes contain no personal data and no document content.

User responsibility: If you require signed documents, audit trails, or invoices for legal, tax, or compliance purposes, please download them locally before deleting your account or allowing your grace period to expire. We cannot restore data after an account has been deleted. You may request immediate deletion at any time by contacting [email protected].

8. Acceptable Use

You agree not to use the Service to:

Upload malicious files, viruses, or harmful content
Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Forge, falsify, or misrepresent document authenticity
Attempt to reverse engineer or compromise the platform
Use the Service for fraudulent purposes or identity theft
Upload documents containing Protected Health Information (PHI) without appropriate authorization

9. HIPAA Notice

Important Notice Regarding Health Information

YourProDesk has implemented security controls consistent with HIPAA Technical Safeguard requirements including: encryption in transit (TLS 1.2+), encrypted storage, audit logging, access controls, and automatic session timeouts. However, YourProDesk is not currently HIPAA certified and does not offer a Business Associate Agreement (BAA).

If you intend to process Protected Health Information (PHI), you must obtain appropriate authorization and are responsible for ensuring compliance with applicable health information privacy laws. HIPAA certification is on our product roadmap.

10. Document Privacy & Security

Documents uploaded to the Service are stored securely using AES-256 encryption at rest and TLS 1.2+ in transit. We do not access, sell, or share your documents with third parties except as required by law. Blockchain records contain cryptographic hashes of documents only — not document content.

11. Intellectual Property

You retain ownership of all documents you upload. By using the Service, you grant Blakiston Peak LLC a limited license to store and process your documents solely to provide the Service.

12. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Blakiston Peak LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months prior to the claim.

13. Termination

We reserve the right to suspend or terminate accounts that violate these Terms. You may cancel your paid subscription or initiate account deletion at any time from your dashboard. Upon initiating deletion, your account is removed immediately and all associated data is permanently deleted. At the end of the grace period, all account data is permanently deleted per Section 6.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Charlotte County, Florida.

15. Changes to Terms

We may update these Terms periodically. We will notify you of significant changes via email. Continued use of the Service after changes constitutes acceptance.
